Welcome to Ruby Rose UAE. In these Terms of Service (“Terms”), the terms “we,” “us,” and “our” refer to Ruby Rose UAE. We operate this website and online store, including all related content, functionality, products, and services (collectively, the “Services”), for the purpose of providing an online shopping experience. Our Services are powered by Shopify, which provides the underlying platform infrastructure. 

These Terms constitute a legally binding agreement between you and Ruby Rose UAE. By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services.

SECTION 1 - ACCESS AND ACCOUNT 

You represent and warrant that you are at least the age of majority in your jurisdiction of residence and that you have full legal capacity to enter into this agreement. If you permit a minor to use the Services on devices you own, you assume full responsibility for their actions and compliance with these Terms. 

To access certain features of the Services, you may be required to provide registration, billing, payment, and shipping information. You represent and warrant that all information submitted is accurate, current, and complete, and that you have all necessary rights and authorization to provide such information. 

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account, whether authorized by you or not. You agree not to assign, transfer, sell, or sublicense your account to any third party. We reserve the right to suspend or terminate accounts that are suspected of unauthorized, fraudulent, or abusive activity. 

SECTION 2 - OUR PRODUCTS 

We endeavor to ensure that product descriptions, images, and representations are accurate; however, we do not warrant that such representations are error-free, complete, or fully reflective of the actual product received. Variations may occur due to device display settings, production batches, and other factors. 

All product descriptions, specifications, availability, and pricing are subject to change at any time without notice. We reserve the right, in our sole discretion, to modify, discontinue, or restrict the availability of any product or service at any time, without liability. 

SECTION 3 - ORDERS 

Your submission of an order constitutes an offer to purchase goods under these Terms. No contract for sale shall be deemed formed until we explicitly accept and confirm your order. We reserve the unrestricted right to refuse, cancel, or limit any order at any time for any reason, including but not limited to suspected fraud, supply limitations, or pricing errors. 

We may require additional verification prior to accepting an order. Payment must be successfully authorized and processed before acceptance. We shall not be liable for any failure to accept or process an order. 

You acknowledge that order cancellation requests may not be accommodated once an order has been processed or accepted. All purchases are subject to our Refund Policy. You represent that all purchases are for personal, non-commercial use unless expressly authorized otherwise in writing. 

SECTION 4 - PRICES AND BILLING 

All prices are subject to change without notice. The applicable price for a product is the price in effect at the time of order confirmation. Prices displayed do not include applicable taxes, shipping fees, customs duties, or other governmental charges unless explicitly stated. 

We reserve the right to correct pricing errors at any time, including after order submission, and to cancel any orders arising from such errors. We are not obligated to honor incorrect or outdated pricing. 

You agree to provide accurate and complete billing information and to promptly update such information as necessary. You represent and warrant that you are authorized to use any payment method provided and that we may charge all amounts due, including taxes, shipping, and any additional fees incurred. 

SECTION 5 - SHIPPING AND DELIVERY 

All delivery timelines are estimates only and are not guaranteed. We shall not be liable for any delay, non-delivery, or failure to perform resulting from causes beyond our reasonable control, including but not limited to carrier delays, customs clearance, or force majeure events. 

Risk of loss and title for products pass to you upon transfer of the goods to the carrier. 

SECTION 6 - INTELLECTUAL PROPERTY 

All content, materials, and intellectual property available through the Services, including but not limited to trademarks, trade dress, logos, text, images, graphics, product listings, audiovisual materials, and software, are owned by or licensed to Ruby Rose UAE and are protected by applicable intellectual property laws. 

No rights or licenses are granted to you except as expressly set forth in these Terms. You are strictly prohibited from copying, reproducing, modifying, distributing, publicly displaying, or creating derivative works from any content without prior written authorization. 

All rights not expressly granted are reserved. Unauthorized use of our intellectual property may result in civil and/or criminal liability. 

SECTION 7 - OPTIONAL TOOLS 

We may provide access to third-party tools or services on an “as is” and “as available” basis without warranties, representations, or conditions of any kind. We assume no responsibility for your use of such tools and disclaim all liability arising from their use. 

Use of third-party tools is entirely at your own risk and subject to the applicable third-party terms and conditions. 

SECTION 8 - THIRD-PARTY LINKS 

The Services may contain links to third-party websites or services. We do not control, endorse, or assume responsibility for any third-party content, products, or services. 

Accessing third-party websites is at your sole risk. We shall not be liable for any loss or damage arising from your dealings with third parties, and you are solely responsible for reviewing their terms and policies before engaging with them. 

SECTION 9 - RELATIONSHIP WITH SHOPIFY 

The Services are powered by Shopify; however, all transactions are strictly between you and Ruby Rose UAE. Shopify is not a party to any sale and assumes no responsibility or liability arising from any transaction, product, or service provided by us. 

You expressly release Shopify and its affiliates from any and all claims arising out of or relating to your use of the Services or purchases made from Ruby Rose UAE. 

SECTION 10 - PRIVACY POLICY 

Your personal data is collected and processed in accordance with our Privacy Policy and, where applicable, Shopify’s Privacy Policy. By using the Services, you acknowledge and consent to such processing. 

Because the Services are hosted by Shopify, your data may be transferred, stored, and processed in jurisdictions outside your country of residence, including for operational and analytical purposes. 

SECTION 11 - FEEDBACK 

By submitting any feedback, suggestions, ideas, or content, you irrevocably assign to Ruby Rose UAE a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, distribute, and commercially exploit such content in any manner. 

You represent and warrant that you own or have all necessary rights to submit such content and that it does not infringe any third-party rights or violate any applicable law. We assume no obligation to maintain confidentiality, provide compensation, or respond to any submissions. 

We reserve the right, but not the obligation, to monitor, remove, or refuse any submissions at our sole discretion. 

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS 

We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice, including after an order has been placed. We further reserve the right to cancel or modify orders affected by such errors. 

SECTION 13 - PROHIBITED USES 

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose, or in any manner that violates applicable laws or infringes the rights of any third party. You are strictly prohibited from engaging in unauthorized access, scraping, data extraction, or interference with the operation or security of the Services. 

We reserve the right to investigate and take appropriate legal action, including suspension or termination of access, against any violation of this Section.

Any automated system, bot, or agent accessing the Services must comply with all applicable laws and must not disguise its identity or bypass security measures. We reserve the right to restrict or prohibit access by any automated system at our sole discretion.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or no reason, including breach of these Terms. Upon termination, all rights granted to you under these Terms shall immediately cease, except for provisions intended to survive termination. 

SECTION 16 - DISCLAIMER OF WARRANTIES 

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. 

SECTION 17 - LIMITATION OF LIABILITY 

To the fullest extent permitted by law, Ruby Rose UAE, its affiliates, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Services or products, including loss of profits, data, or business interruption, even if advised of the possibility of such damages. 

SECTION 18 - INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless Ruby Rose UAE, Shopify, and their affiliates from any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms, violation of law, or misuse of the Services. 

SECTION 19 - SEVERABILITY 

If any provision of these Terms is found to be unlawful or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect. 

SECTION 20 - WAIVER; ENTIRE AGREEMENT 

Failure to enforce any provision shall not constitute a waiver. These Terms constitute the entire agreement between you and Ruby Rose UAE and supersede all prior agreements or understandings. 

SECTION 21 - ASSIGNMENT 

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights without restriction. 

SECTION 22 - GOVERNING LAW 

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ruby Rose UAE is established, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the competent courts in that jurisdiction. 

SECTION 23 - HEADINGS 

Headings are for convenience only and shall not affect interpretation of these Terms. 

SECTION 24 - CHANGES TO TERMS OF SERVICE 

We reserve the right to update, modify, or replace these Terms at any time by posting revisions on our website. It is your responsibility to review these Terms periodically. Continued use of the Services following changes constitutes acceptance of such changes.
